1. Overview
The AI Assistants (“Assistants”) created by We Thrive Collective are individual digital tools available for subscription. Each Assistant is powered by OpenAI’s API and strategically trained by We Thrive Collective to support brainstorming, content development, and digital workflows.
These Assistants are not intended to replace professional guidance or provide legally binding advice. By subscribing, you agree to these Terms and acknowledge your responsibility for all outcomes generated by their use.
2. Intended Use & Scope
These Assistants are designed as creative thinking companions to help spark ideas, outline strategies, and clarify messaging or systems.
They do not provide business, financial, legal, or medical advice.
You are solely responsible for evaluating and acting on any outputs. No content should be relied upon as professional or factual guidance.
3. Digital Delivery & Licensing
Each Assistant is delivered via chat-based interaction with no physical component.
Your purchase grants you a personal, non-transferable license to use the Assistant during your subscription term.
You may not share, resell, clone, or distribute the content, access, or trained structure of these Assistants.
4. Subscription Model & Payments
Assistants are sold individually on a subscription basis (monthly or otherwise noted at time of purchase).
Cancel anytime to stop future billing. Access will be revoked at the end of your current billing period.
No refunds are offered unless otherwise specified at time of purchase or where required by law.
5. Platform Use & Technology
All Assistants are powered by OpenAI’s API and hosted on platforms such as ChatGPT or similar services.
You are responsible for ensuring you can access and use the underlying tech platform.
We Thrive Collective is not liable for outages, changes, or limitations imposed by OpenAI or related platforms.
6. AI Outputs & Limitations
Outputs are AI-generated and may include errors, outdated info, or unintentional bias.
You agree not to use outputs for unlawful, harmful, or deceptive purposes.
You accept full responsibility for all use of outputs and agree to verify all critical content independently.
7. Affiliate Tools & Recommendations
From time to time, Assistants may recommend tools or platforms using affiliate links.
We Thrive Collective may earn commissions, but always prioritizes ethical, cost-conscious recommendations.
You are never required to purchase a recommended tool to use your Assistant.
8. Termination & Misuse
We reserve the right to revoke access without refund if you misuse the Assistants, attempt to reverse-engineer them, violate laws, or breach these Terms.
9. Intellectual Property
All custom prompt engineering, training, and instructional materials are the intellectual property of We Thrive Collective. You may use outputs for your own business or personal development but may not repackage or resell Assistant structures or flows.
10. Disclaimers
These Assistants are offered “as-is” with no warranties or guarantees. We Thrive Collective disclaims all liability for decisions made or actions taken based on Assistant outputs.

We Thrive Collective: Done-For-You (DFY) Services & Onboarding
Terms of Service

Key Points You Need to Know:
You provide the assets, we set you up. Work doesn’t start until you’ve submitted what’s needed.
Timelines depend on you. If you delay in sending assets or responding, your project will pause. If 30 days pass with no activity, your account freezes.
All payments must stay current. If invoices or subscriptions lapse, work pauses until accounts are up to date.
Refunds aren’t offered once work begins. We invest time and resources immediately — so payments are final.
Revisions are limited. You get two rounds on DFY Services and one round on DFY Onboarding. Extra changes = extra fees.
Third-party costs may apply. Fonts, stock photos, plugins, or integrations like Zapier/OpenAI tokens may incur extra charges. We’ll check with you before purchase, and you’ll be rebilled at cost (integrations carry a 5% admin margin).
We don’t do creative asset design. You provide copy, logos, and design. If you need help, we can refer trusted designers.
Guarantees are limited. The 30-Day Activation Guarantee applies to Soleila.io onboarding only, not DFY Services.
Disputes go through mediation in Collin County, Texas first.
1. DFY Services Terms
1.1 Scope of Work
Each DFY package includes only the deliverables explicitly listed in the service description at the time of purchase.
Services such as graphic design, video editing, copywriting beyond what is specified, or third-party integrations not listed are not included unless separately scoped and contracted.
Revisions are limited to two (2) rounds per project deliverable. Additional revisions will be billed at our standard hourly rate of $150.
We provide templates and frameworks; design/copy/creative assets are client-provided unless custom-scoped. Referrals to trusted design providers are available upon request.
1.2 Client Responsibilities
Provide all required assets (logos, brand guidelines, copy, course materials, media files) by the deadlines outlined in your onboarding checklist.
Understand that work will not begin until both (a) the first payment is received and (b) all required assets are provided.
Accept that delays in providing assets will delay delivery timelines.
Grant us administrative access to tools (domain/DNS, Stripe, email) or participate in live screen shares for setup. We do not request or retain your account passwords.
Maintain Soleila.io subscription and invoices in good financial standing for work to continue or deliverables to be released.
1.3 Delivery Timelines
Delivery begins only after all required assets are received:
Website + Funnel + GPT: ~21 business days
Email Starter Pack + GPT: ~14 business days
Course Build-Out + GPT: ~21 business days
Custom Scope & Website Design: timeline determined during consultation
All timelines are estimates and depend on timely client cooperation.
1.4 Payment & Refunds
Work will not begin until the first payment clears.
All payments are non-refundable once work has started.
Payment plans must be completed in full regardless of client participation or delays caused by missing assets.
Transaction fees and donations (such as Stripe Climate contributions) are built into package pricing.
All accounts must remain in good financial standing for work to continue or be delivered.
1.5 Intellectual Property
Upon final payment, you retain full ownership of deliverables created for your brand (funnels, course shells, GPT configurations).
We retain the right to use anonymized versions of work in our portfolio unless you request otherwise in writing.
1.6 Third-Party Assets & Integrations
Fonts: We make every effort to match brand fonts from free sources. If a paid font is required, we will notify you. You may choose an alternative free/similar font, or opt to purchase the original font at cost, rebilled by us. Fonts will be provided to you if licensing permits.
Other assets: Stock images, plugins, and similar resources are not included unless specified. We will confirm with you before purchase and rebill at cost if approved. If no response is received within 48 hours, we may proceed with the purchase and rebill.
Integrations: While HighLevel integrates with nearly any platform, third-party providers may impose paywalls or API restrictions beyond our control. In such cases, we will provide alternative options, but clients must approve and initiate transitions. Any associated costs are the client’s responsibility.
Ongoing integrations (Zapier, Make, OpenAI tokens, etc.) will be rebilled monthly at cost plus a 5% admin margin. Minimum rebilling will occur monthly.
1.7 Communication Expectations
Clients are expected to respond within 24–48 hours. Delays may push back timelines without penalty to We Thrive Collective.
If communication lapses for more than 7 days, the project will pause until the client resumes communication.
If no Soleila.io account activity or client communication occurs within 30 days, the account will be frozen.
1.8 Project Restart Policy
Projects paused for more than 30 days require a $250 restart fee to resume.
Restart timelines will be based on our current production schedule.
1.9 Limitations of Guarantee
The 30-Day Activation Guarantee applies only to Soleila.io onboarding, not DFY Services.
DFY Services are built to specification and are not performance-guaranteed beyond what is contractually listed.
1.10 Platform Dependency Disclaimer
DFY Services rely on third-party platforms (GoHighLevel, Stripe, Google, etc.). We Thrive Collective is not responsible for downtime, service changes, or limitations imposed by these providers.
1.11 Termination
We may pause or terminate services if client communication ceases for more than 30 days.
In such cases, all completed work to date will be delivered, but no refunds will be issued for incomplete portions.
2. DFY Onboarding Terms
2.1 Scope of Services
DFY Onboarding includes setup of your Soleila.io account according to the package purchased.
Standard onboarding may include account configuration, email/domain setup, CRM setup, funnel/website templates, automations, and course/membership delivery tools.
Custom branding, logo design, custom code, or third-party integrations outside of the agreed scope are not included.
2.2 Client Responsibilities
Provide all required assets (logos, copy, media, account logins, etc.) within 7 business days of purchase.
Attend at least one live onboarding call.
Maintain financial standing: All Soleila.io subscriptions and invoices must be current for onboarding work to continue or be completed.
2.3 Timeline & Delivery
Standard DFY onboarding is completed within 14–21 business days after all required assets and access are received.
Timelines may extend if assets are delayed or scope is expanded.
2.4 Guarantee & Activation
DFY Onboarding includes the Soleila 30-Day Activation Guarantee. To qualify, you must:
Provide all requested assets within 7 business days.
Attend at least one live onboarding call.
Launch your first funnel, automation, or campaign within 30 days of completion.
If these conditions are met and you do not see results (booked appointments or a 25%+ email open rate), we will credit your next month’s subscription fee.
2.5 Fees & Payments
Payment is due in full at checkout unless a payment plan is arranged.
All fees are non-refundable, except as covered by the Activation Guarantee.
Failed payments may result in suspension of onboarding services until resolved.
2.6 Revisions & Edits
One round of revisions is included.
Additional revisions or out-of-scope requests may be billed at our standard rates.
2.7 Termination
If you fail to provide assets, respond to requests, or complete required steps within 30 days, onboarding may be considered closed.
Re-engagement may require a $250 restart fee.
3. Limitation of Liability
We Thrive Collective shall not be liable for direct or indirect damages from the use or inability to use DFY Services or DFY Onboarding. This includes business loss, project delays, or third-party technology issues.
4. Indemnification
Clients agree to indemnify and hold harmless We Thrive Collective from claims, damages, or legal actions arising from their use of deliverables or services, including but not limited to compliance with email marketing laws, GDPR, or other regulations.
5. Mediation & Jurisdiction
All disputes shall first be addressed through mediation in the State of Texas. If unresolved, disputes will fall under the jurisdiction of courts located in Collin County, Texas.
6. Updates to Terms
We may update these Terms periodically. Continued use of DFY Services or DFY Onboarding after changes are made constitutes acceptance of the new Terms.

TERMS OF SERVICE

1. Acceptance of Terms
By accessing or using Soleila.io, a white-labeled GoHighLevel platform operated by NM Phom Services LLC DBA We Thrive Collective and DBA We Thrive HR ("we", "us", "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the platform.
2. Description of the Service
Soleila.io provides business automation, CRM, funnel building, and workflow tools for entrepreneurs. The platform includes:
CRM, SMS/email campaigns, booking, memberships, reviews
Funnel/page templates
Automation workflows
Training resources, prompt scripts, and toolkits
Additional services and coaching may be offered through We Thrive Collective.
3. Plan Options & Pricing
Soleila.io Software Access: $124/month
Functioning & Feral Membership: $97/month
Bundle Plan (Software + Membership): $197/month ($179/month for founding members)
4. No Stress Tech Guarantee & Refund Policy
We offer a 14-day refund window. To qualify, you must:
Attend at least one Soleila.io Office Hour (held weekly on Fridays), or
Submit a documented support request
If you cancel within 14 days and meet the above criteria, you’ll receive a full refund.
If you cancel a bundle plan, your Functioning & Feral Membership will revert to $97/month the following billing cycle.
5. Community Guidelines & Cancellation for Conduct
We are committed to holding space for clients with care, clarity, and respect. If any client engages in abusive, vulgar, or hostile behavior toward team members or the community:
We Thrive Collective reserves the right to cancel your account immediately.
Monthly plans will not be refunded for remaining days.
Annual plans will be refunded for all unused full months (e.g., canceled Sept 10 = refund for Oct+).

We Thrive Collective offers additional paid services to support your platform usage:

Website Design & Domain Maintenance
Community Setup
Advanced Tech Support (funnels, automations, campaigns)
Ongoing Account Management
All service details and pricing are listed on our Services page. Turnaround times vary and will be scoped per project.
7. Data Handling & Account Cancellation
You are responsible for backing up your data prior to cancellation.
Upon cancellation, your data will be deleted within 72 hours.
No refunds for mid-month cancellations unless otherwise stated.
8. Payment, Non-Payment & Account Suspension
Payment is processed via Stripe.
Subscriptions auto-renew unless canceled before your renewal date.
Annual plans are billed once and are non-refundable unless under Clause 5.
If a payment fails or your account becomes delinquent, your Soleila.io account will be frozen.
You may request a freeze (pause) on your account for up to 90 days. During this time, you will not have access to platform features, but your data will be retained.
After 90 days of non-payment or inactivity, your account will be permanently deleted along with all associated content, templates, campaigns, and automations.
9. Platform Use & Limitations
Soleila.io is built on GoHighLevel. Some limitations may apply based on platform capabilities. Service delivery and uptime are subject to third-party performance.
10. Age Requirement
You must be at least 18 years old to use Soleila.io. We do not knowingly collect or solicit data from anyone under the age of 18.
11. License and Use Restrictions
Users are granted a limited, non-exclusive, non-transferable license to use the platform and its content solely for their business operations. Users may not resell, redistribute, reverse engineer, or create derivative works based on Soleila.io intellectual property.
12. Indemnification
You agree to indemnify, defend, and hold harmless NM Phom Services LLC, its officers, employees, agents, and affiliates, from any claims, damages, liabilities, and expenses (including legal fees) arising out of your use of Soleila.io or violation of these Terms.
13. Limitation of Liability
In no event shall NM Phom Services LLC be liable for indirect, incidental, special, or consequential damages. Total liability shall not exceed the amount paid by the user in the previous 12 months.
14. Force Majeure
We are not liable for any failure or delay in performance due to events beyond our control, including but not limited to acts of God, natural disasters, governmental actions, or internet service disruptions.
15. Dispute Resolution and Arbitration
Any disputes shall be resolved through binding arbitration in accordance with the laws of the State of Texas. By using the platform, you waive your right to participate in class actions or jury trials.
16. Modifications to Terms
We Thrive Collective reserves the right to modify these Terms at any time. Continued use of the platform constitutes acceptance of the revised Terms.

TERMS OF SERVICE

1. Overview
We Thrive Collective and NM Phom Services LLC provide business and technology solutions, including course and community setup, website design and hosting, sales funnels, custom AI assistant development, CRM and email marketing builds, and other strategic services designed to support growing entrepreneurs and businesses.
2. Services & Deliverables
Services may be custom-scoped or delivered as standardized packages clearly labeled on our website. Timelines for delivery are project-based and outlined during onboarding. Standard services will include descriptions and pricing; custom scopes will be defined in writing with each client.
Examples of Deliverables:
Course and Community Setup
CRM configuration and automation
Email campaigns and templates
Funnel and landing page builds
Website design, maintenance, and hosting
Custom-trained AI Assistants using OpenAI’s API
3. Ownership & Confidentiality
All materials provided by the client (videos, copy, assets) are owned by the client. NM Phom Services LLC will not reproduce or reuse materials outside the client’s Soleila.io subaccount. Confidentiality agreements and NDAs are available upon request. We Thrive Collective reserves the right to refuse service for ethical or moral concerns.
4. Payments & Deposits
Deposits: All deliverables require a non-refundable deposit to initiate work. Deposits indicate allocation of time and resources.
Final Payment: Due upon completion of the project.
Payment Plans: Available upon request. No refunds will be made on collected payments. Future payments may be canceled at our discretion.
Late Fees: $25 if payment is 5+ days late; additional $25 every 30 days, capped at $100 per transaction.
Minimum Commitment: Some services require a 6-month minimum commitment. See specific service listings.
5. Refunds & Cancellations
Deposits are non-refundable.
Refunds are not granted on completed or in-progress services unless explicitly stated.
Cancellations require 60 days’ written notice unless otherwise stated in your service agreement.
Custom AI Assistants are non-refundable once development has begun.
6. AI Assistant Specific Terms
AI Assistants are trained with OpenAI’s API and are custom-built by We Thrive Collective.
Clients are responsible for their own OpenAI accounts and any API fees incurred.
These tools are for brainstorming and operational support only—not legal, medical, or business advice.
Misuse or unethical deployment may result in the assistant being deactivated.
7. Hosting, Data, & Platform Use
Clients using Soleila.io subaccounts must manage and back up their own data.
All subaccount data will be deleted 90 days after non-payment or cancellation.
Upon cancellation, all services and assets will be removed from our hosting platform unless otherwise negotiated.
Monthly services may include text/call usage charges billed in arrears.
8. Revisions & Support
One round of revisions is included within 2 weeks of project handover.
Ongoing support is available based on the package selected.
Additional revisions or updates (e.g., AI Assistant updates) may incur a $30 fee.
9. Legal & Liability
Clients must ensure they have rights to all content submitted.
We Thrive Collective is not responsible for third-party content or infringements.
Maximum liability is limited to the amount paid for services within the past 12 months.
10. Jurisdiction & Disputes
These terms are governed by the laws of the State of Texas.
Disputes shall be resolved via mediation before further legal steps are taken.
