Part A: Soleila.io Platform Terms

1. Acceptance of Terms

By accessing or using Soleila.io, a white-labeled GoHighLevel platform operated by NM Phom Services LLC DBA We Thrive Collective and DBA We Thrive HR (“we”, “us”, “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not access or use the platform.

2. Description of the Service

Soleila.io provides business automation, CRM, funnel building, and workflow tools for entrepreneurs. The platform includes:

• CRM, SMS/email campaigns, booking, memberships, reviews
• Funnel and page templates
• Automation workflows
• Training resources, prompt scripts, and toolkits
• Access to The Labs tier of the Functioning & Feral™ Hub, including the AI Tools and Skills Library described in Part D
• Additional services and coaching offered through We Thrive Collective

3. Pricing and Subscription Terms

3.1 Current Pricing

• Soleila.io Platform Access: $297/month, or $3,267 paid annually. Includes full platform access and The Labs tier of the Functioning & Feral™ Hub.
• Functioning & Feral™ Hub, The Labs (standalone): $149/month, or $1,639 paid annually. Strategy, AI tools and skills, and the Content, Strategy, and Systems Labs, for founders who want these without switching platforms.
• Functioning & Feral™ Hub, The Anchor Point: $30/month. Community, co-working, and accountability practice space.

A 4% credit card processing fee applies to all subscription and service payments.

Third-party costs we purchase on your behalf are invoiced separately and carry a 6% administrative fee instead of the 4% processing fee. See Part B, Section 1.6.

3.1a Your Price Is Locked

The price you enroll at is your price for as long as your subscription remains continuously active. If we raise our published pricing, your rate does not change. This applies to every subscription, not only to earlier members.

Two things sit outside your locked subscription price:

• Usage-based charges. SMS, phone call, and AI token usage are billed separately at our published usage rates as they are used. These have never been part of your subscription price and are not covered by the price lock. Usage rates may change with notice.
• Third-party cost increases. If a provider we depend on materially raises what they charge us, we may pass that specific increase through with at least 60 days written notice. We will not pass through more than the increase itself, and we will tell you what changed and why. This is the only circumstance in which a locked subscription price moves.

If your subscription lapses and later restarts, it is a new subscription at the pricing in effect at that time. A pause granted under Section 10.7 does not break continuity and does not affect your locked price.

3.1b New Features and Optional Add-Ons

Improvements to what you already have are included at no additional cost. That includes new skills added to the AI Tools and Skills Library, new Labs content, and improvements to the platform itself.

Separately, we may offer new products, services, premium AI tools, or AI Agents as optional paid add-ons at their own published price. These are never required. Declining one never changes your existing subscription, your access, or your locked price.

3.2 Minimum Subscription Terms

The following minimum terms apply to subscriptions beginning on or after September 14, 2026:

• Soleila.io: a 12-month minimum term, satisfied by twelve consecutive monthly payments of $297 or by a single annual payment of $3,267.
• The Labs: a 3-month minimum term, satisfied by three consecutive monthly payments of $149 or by a single annual payment of $1,639.
• The Anchor Point: no minimum term. Month to month, cancel at any time.

These minimums exist because the cost of bringing a new account onto the platform is concentrated at the beginning of the relationship. Onboarding, account provisioning, and platform configuration happen in the first weeks and are recovered across the term. For The Labs, the minimum reflects that the AI Tools and Skills Library is a complete, immediately available body of work with standalone value.

3.2a Acknowledgment at Checkout

Where a minimum term applies, you will be asked to acknowledge it at checkout by a separate, affirmative confirmation stating the term length, the monthly amount, and the total. Your acknowledgment and the date it was given are recorded on your account.

3.3 What Happens at the End of a Minimum Term

When your minimum term is complete, your subscription continues automatically on a month-to-month basis at the same monthly rate you have been paying. Completing a minimum term does not reduce your rate. Soleila.io remains $297/month and The Labs remains $149/month.

Your subscription does not renew for a second minimum term. Once your minimum term is satisfied, you may cancel at any time, effective at the end of your current paid period.

Your rate is governed by the price lock in Section 3.1a. Completing a minimum term does not change it, and neither does any later change to our published pricing.

3.4 Existing Members

Subscriptions that began before September 14, 2026 are not subject to any minimum term. These members remain on month-to-month, cancel-anytime terms. Like every member, they keep the rate they enrolled at under Section 3.1a, including any legacy pricing, for as long as the subscription remains continuously active.

3.5 The 14-Day Refund Window and the Minimum Term

The 14-day refund window described in Section 4 is your exit from a minimum term. If you cancel within 14 days and meet the conditions in Section 4, your minimum term ends with no further obligation. After day 14, the minimum term applies and the refund window is closed.

4. No Stress Tech Guarantee & Refund Policy

We offer a 14-day refund window. To qualify, you must:

• Attend at least one Soleila.io Office Hour (held weekly on Fridays), or
• Submit a documented support request

If you cancel within 14 days and meet the above criteria, you will receive a full refund of your initial monthly payment. No refund requests will be honored after the 14-day period under any circumstances. All subsequent monthly payments are non-refundable. If you cancel within 14 days but have not met the participation conditions above, your cancellation is accepted and your minimum term ends, but your initial payment is not refunded.

5. Results Disclaimer

Soleila.io provides platform infrastructure, tools, and resources to support your business operations. We cannot and do not guarantee specific outcomes, results, or business performance from your use of the platform. Your results depend on your own effort, implementation, and execution. All content, tools, and resources provided through Soleila.io are for operational and educational purposes only and do not constitute legal, financial, or professional advice.

6. Community Standards & Conduct-Based Termination

Soleila.io is built on a foundation of respect, dignity, and psychological safety for every client and community member. Conduct that violates these values is treated as a serious breach of our standards.

Clients whose access is terminated for conduct-related reasons forfeit their current billing period without refund and have their access revoked immediately. At the sole discretion of We Thrive Collective, termination for conduct-related violations may result in permanent ineligibility for membership or services across all We Thrive Collective and NM Phom Services LLC brands.

Conduct that may result in termination includes but is not limited to:

• Harassment, intimidation, or disrespectful treatment of staff, contractors, or other clients
• Misuse of platform tools, automations, or resources in violation of applicable laws or third-party terms of service
• Sharing, reproducing, or distributing proprietary platform content, snapshots, or builds without authorization
• Sharing login credentials or providing platform access to any unauthorized individual
• Any conduct that Soleila.io determines, in its sole discretion, to be harmful or inconsistent with our values

Annual plans terminated for conduct-related violations will receive a prorated refund for unused full months remaining in the annual term.

7. Login and Account Sharing

Your Soleila.io credentials are personal and non-transferable. Sharing your login information, access links, or credentials with any individual who has not purchased their own subscription is a material breach of these Terms and will result in immediate termination of your account without refund.

Account Security. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to notify us immediately at hello@nmpservices.org of any unauthorized use of your account or any other breach of security. We are not liable for any loss arising from your failure to safeguard your credentials.

8. Intellectual Property

All snapshots, automation builds, workflows, pipelines, templates, and platform configurations developed and delivered within Soleila.io are the intellectual property of NM Phom Services LLC. Your subscription grants you a personal, non-exclusive, non-transferable license to use these assets within your Soleila.io account for your own business operations only. You may not reproduce, redistribute, resell, or share any Soleila.io proprietary assets with any third party in any format without the express written permission of We Thrive Collective. Users may not resell, redistribute, reverse engineer, or create derivative works based on Soleila.io intellectual property.

9. Optional Services

We Thrive Collective offers additional paid services to support your platform usage:

• Course Build-Outs
• Website Design & Domain Maintenance
• Community Setup
• Advanced Tech Support (funnels, automations, campaigns)
• Ongoing Account Management

All service details and pricing are listed on our Services page. Turnaround times vary and will be scoped per project. Custom services are non-refundable once work has started or is delivered.

10. Payment, Non-Payment, Suspension and Closure

10.1 Payment and Auto-Renewal

Payment is processed via Stripe. A 4% credit card processing fee applies to all subscription and service payments. Subscriptions automatically renew at the end of each billing period using the payment method on file, unless canceled before the renewal date. For annual plans, we will send a reminder notice to your email on file at least 30 days before your renewal date, outlining how to cancel if you do not wish to renew. Monthly subscriptions renew automatically each billing cycle without individual reminder notices.

You may cancel at any time through your account settings or by contacting hello@nmpservices.org. Cancellation takes effect at the end of your current paid period. If you are within a minimum term, see Section 10.5.

10.2 Failed Payments and Account Lock

If a payment fails, our payment processor will automatically re-attempt the charge according to its standard retry schedule. You will be notified when a payment fails and again during the retry period.

If the retry period ends without a successful payment, your account becomes delinquent and access is locked. Locked means your Soleila.io account is suspended and your Functioning & Feral™ Hub access is removed. While your account is locked, automations, funnels, campaigns, and scheduled communications configured in your account will not run.

Your billing period does not pause or extend during any period of locked access. Access is restored once the outstanding payment has been successfully processed.

10.3 Account Closure

If your account remains delinquent for 30 days from the date of the first failed payment, your account will be closed. We will give you written notice before closure.

A closed account is no longer an active subscription. Closure does not delete your data. See Section 10.4.

There is no reinstatement of a closed account. If you wish to return, you may enroll as a new client at the pricing and terms in effect at that time.

10.4 Data Retention, Export, and Deletion

Your account data is retained for 90 days from the date of the first failed payment. During that window you may:

• Request an export of your account data, at no charge, by contacting hello@nmpservices.org, or
• Request a migration of your account to your own GoHighLevel account under the terms in Section 11.

After 90 days, your account and all associated content, templates, campaigns, and automations are permanently deleted and cannot be recovered. We will send a final notice before deletion. You are responsible for backing up your own data. We do not maintain backups of deleted accounts.

10.5 Minimum Term Obligation on Closure for Non-Payment

If your account is closed for non-payment before your minimum term is satisfied, the unamortized portion of your Onboarding Value becomes due.

Your Onboarding Value represents the cost of onboarding, account provisioning, snapshot installation, and platform configuration. That cost is incurred at the start of your subscription and recovered across your minimum term rather than charged as a separate setup fee.

The standard Onboarding Value for Soleila.io is $600, unless a different amount is stated on your order form. It amortizes in equal monthly amounts across your minimum term. The amount due on closure is the portion that has not yet amortized.

Example: on a 12-month term, an Onboarding Value of $600 amortizes at $50 per month. An account closed after four completed months would owe $400.

The Labs and The Anchor Point carry no Onboarding Value and no amount is due on closure for either.

This amount is a reasonable estimate, agreed at the time of purchase, of costs already incurred and not yet recovered. It is not a penalty, and it is in addition to any unpaid amounts already accrued.

We may reduce or waive this amount at our sole discretion. Requests are considered case by case and should be directed to hello@nmpservices.org.

This section does not apply to subscriptions that began before September 14, 2026, or to any subscription with no minimum term.

10.6 Late Fees

A $25 late fee may be applied if payment is more than 5 days overdue, with an additional $25 every 30 days past due, capped at $100 per transaction. Late fees are applied at our discretion and are not assessed automatically.

10.7 Voluntary Pauses

We may, at our sole discretion, grant a temporary pause of your subscription. A pause is a courtesy and is not a right under these Terms. Unless otherwise agreed in writing, a pause lasts a maximum of 60 days, after which your subscription either resumes at your current rate or your account is closed under Section 10.3. Paused time does not count toward a minimum term. Your data retention window under Section 10.4 begins when the pause ends, not when it began.

11. Account Migration to Your Own GoHighLevel Account

If you choose to cancel your Soleila.io subscription and would like to continue using your account assets independently, you may request a migration of your account to your own GoHighLevel account for a flat fee of $500, payable in full prior to migration work beginning.

What Is Included

• Transfer of all snapshots built within your Soleila.io account
• Transfer of all automation builds developed within your account

What Is Not Included

• Access to any Soleila.io AI tools or the AI Tools and Skills Library, which remain the proprietary property of NM Phom Services LLC
• Reconnection of any Make.com or Zapier integrations, which must be reconfigured independently on your new account
• A handoff call or ongoing technical support
• Any platform features, resources, or assets not built within your specific account

Migration must be requested before your cancellation is processed or within the 90-day data retention window, whichever comes first. Migration requests submitted after your data has been deleted cannot be fulfilled.

Migration is available whether your subscription ended by your own cancellation or by closure for non-payment, provided the request and payment are received within the 90-day data retention window described in Section 10.4.

12. Data Handling & Account Cancellation

You are responsible for backing up your data prior to cancellation. Upon cancellation, your account will remain accessible through the end of your current paid billing period. After that period, your account will be locked.

Data retention, export, and deletion following cancellation or closure are governed by Section 10.4. No refunds are given for mid-month cancellations unless otherwise stated.

13. Platform Use & Limitations

Soleila.io is built on GoHighLevel. Some limitations may apply based on platform capabilities. Service delivery and uptime are subject to third-party performance.

14. Age Requirement

You must be at least 18 years old to use Soleila.io. We do not knowingly collect or solicit data from anyone under the age of 18.

15. Eligibility & Residency

To use our Services, you must (i) be at least 18 years old, (ii) be a resident of, or operate a business registered in, the United States, and (iii) not be a direct competitor of the Company or using the Services for purposes competitive with the Company. Clients who meet these residency and business-registration requirements may access and use the Services regardless of their physical location at any given time, including while traveling internationally, provided their use complies with all applicable local laws in their current location.

Part B: Done-For-You Services & Onboarding Terms

1. DFY Services Overview

Done-For-You (DFY) Services are custom projects scoped to your specific business needs. We handle the setup, configuration, and build-out while you focus on running your business.

1.1 Service Scope & Deliverables

Each DFY Service project will have clearly defined deliverables outlined during onboarding. Custom scopes are defined in writing with each client. Standard DFY Services are labeled on our website with specific descriptions and pricing.

1.2 Timeline & Project Start

Work does not begin until you have submitted all required assets and information. Timelines are project-based and communicated during initial onboarding. If you delay in providing assets or responding to requests, your project will pause automatically.

1.3 Inactivity Freeze

If 30 days pass with no activity or response from you, your account will be automatically frozen. To resume work, your account must be brought current on all payments and communications. This project freeze is separate from the account lock and closure process described in Part A, Section 10.

1.4 Payment Requirements

All payments, including invoices and subscriptions, must remain current for work to continue. If any payment lapses, work will pause immediately until your account is brought current. A 4% credit card processing fee applies to all subscription and service payments processed by card. Invoices are due within 14 days of receipt (Net 14). A $25 late fee may be applied if payment is more than 5 days overdue, with an additional $25 every 30 days past due, capped at $100 per transaction. Late fees are applied at our discretion and are not assessed automatically.

1.5 Revision Policy

DFY Services include two rounds of revisions. Revisions must be requested within 2 weeks of project delivery. Additional revisions or scope changes beyond the included rounds are billed at $250/hour.

1.6 Third-Party Costs

Third-party costs (fonts, stock photos, plugins, Zapier integrations, OpenAI token usage, and similar purchases made on your behalf) may apply. We will confirm any such cost with you before purchasing.

You will be rebilled at the actual purchase cost plus a 6% administrative fee, which covers payment processing and the time to source, purchase, and configure the item. Third-party costs are invoiced separately from your subscription. The 4% credit card processing fee does not apply to these invoices, because payment processing is already covered by the 6% administrative fee.

You may avoid the administrative fee by purchasing the item directly yourself and providing us with access to it. For fonts and some software, purchasing directly is often the better option regardless, because many licenses are issued per user or per business entity and may not transfer to you when purchased under our account. We will tell you when we believe that applies.

1.7 Creative Assets

We do not provide creative asset design. You are responsible for providing copy, logos, images, and design specifications. If you need help sourcing a designer, we can provide referrals to trusted professionals.

1.8 Non-Refundable Policy

Refunds are not offered once work begins. We invest time and resources immediately upon project start, so all payments are final.

1.9 Ownership of Deliverables

All materials created through DFY Services (custom configurations, automations, templates, copy edits) remain your intellectual property within your Soleila.io subaccount. We retain no rights to reuse or repurpose these materials outside your subaccount.

1.10 Support & Handoff

Upon project completion, we will provide training on how to use and maintain your new setup. One round of follow-up support is included within 2 weeks of handoff at no additional cost. Additional support beyond this window is billed at $250/hour.

1.11 Dispute Resolution

Any disputes regarding DFY Services will first go through mediation in Collin County, Texas.

2. DFY Onboarding Overview

DFY Onboarding is our comprehensive setup service to get you activated and running on Soleila.io as quickly as possible. This includes platform configuration, initial campaign setup, and foundational training.

2.1 30-Day Activation Guarantee

We guarantee you will be fully activated and operational on Soleila.io within 30 days of your enrollment, provided you meet all submission and communication requirements. This guarantee applies to DFY Onboarding only, not to other DFY Services.

2.2 Onboarding Scope

DFY Onboarding includes platform setup, initial CRM configuration, campaign templates, training sessions, and introductory materials. Specific deliverables will be outlined during your onboarding call.

2.3 Asset Submission Requirements

Work cannot begin until you have provided all required assets: business information, branding guidelines, copy, email lists (if applicable), and any custom integrations you need.

2.4 Timeline & Milestones

Onboarding will be broken into phases with specific milestones. Your timely response to requests is critical to meeting the 30-day activation timeline.

2.5 Revision Policy for Onboarding

DFY Onboarding includes one round of revisions. Additional revisions or scope changes are billed at $250/hour.

2.6 Training & Support

Training is provided during the onboarding process. Two group office hours per month are included as ongoing support after your activation.

2.7 Payment Terms for Onboarding

DFY Onboarding deposits are non-refundable and indicate allocation of time and resources. Final payment is due upon completion. A 4% credit card processing fee applies to all subscription and service payments made by card. If you do not remain current on payments, your onboarding will pause and the 30-day activation guarantee will be voided.

Part C: General Services Terms

1. Overview

We Thrive Collective and NM Phom Services LLC provide business and technology solutions, including course and community setup, website design and hosting, sales funnels, custom AI assistant development, CRM and email marketing builds, and other strategic services designed to support growing entrepreneurs and businesses.

2. Services & Deliverables

Services may be custom-scoped or delivered as standardized packages clearly labeled on our website. Timelines for delivery are project-based and outlined during onboarding. Standard services will include descriptions and pricing; custom scopes will be defined in writing with each client.

Examples of Deliverables:

• Course and Community Setup
• CRM configuration and automation
• Email campaigns and templates
• Funnel and landing page builds
• Website design, maintenance, and hosting
• Custom-trained AI Assistants using OpenAI, Anthropic (Claude), and Google (Gemini) APIs

3. Community Standards & Conduct

We Thrive Collective is built on a foundation of respect, dignity, and psychological safety for every client. Conduct that violates these values is treated as a serious breach of our standards and may result in immediate termination of services without refund. At the sole discretion of We Thrive Collective, termination for conduct-related violations may result in permanent ineligibility for services across all We Thrive Collective and NM Phom Services LLC brands.

4. Ownership & Confidentiality

All materials provided by the client (videos, copy, assets) are owned by the client. NM Phom Services LLC will not reproduce or reuse materials outside the client’s Soleila.io subaccount. Confidentiality agreements and NDAs are available upon request. We Thrive Collective reserves the right to refuse service for ethical or moral concerns.

5. Payments & Deposits

Deposits: All deliverables require a non-refundable deposit to initiate work. Deposits indicate allocation of time and resources.

Final Payment: Due upon completion of the project.

Payment Plans: Available upon request.

Credit Card Processing Fee: A 4% credit card processing fee applies to all subscription and service payments made by card.

No Refunds: No refunds will be made on collected payments. Future payments may be canceled at our discretion.

Late Fees: A $25 late fee may be applied if payment is 5 or more days late, with an additional $25 every 30 days past due, capped at $100 per transaction. Late fees are applied at our discretion and are not assessed automatically.

Minimum Commitment: Subscription services may carry a minimum term. Current minimum terms are stated in Part A, Section 3, and on the offer page for each service. Custom and done-for-you engagements have no standing minimum term; any commitment period is defined in the written scope for that engagement.

6. Refunds & Cancellations

Deposits are non-refundable. Refunds are not granted on completed or in-progress services unless explicitly stated. Cancellations require 60 days’ written notice unless otherwise stated in your service agreement. Custom AI Assistants are non-refundable once development has begun.

7. AI Assistant Specific Terms

AI Assistants are custom-built by We Thrive Collective using APIs from Anthropic (Claude), OpenAI, and Google (Gemini), depending on the scope of the project. Clients are responsible for their own platform accounts and any API fees incurred. These tools are for brainstorming and operational support only, not legal, medical, or business advice. Misuse or unethical deployment may result in the assistant being deactivated without refund.

8. Hosting, Data, & Platform Use

Clients using Soleila.io subaccounts must manage and back up their own data. Account lock, closure, data retention, export, and deletion are governed by Part A, Section 10. Upon cancellation, all services and assets will be removed from our hosting platform at the end of the retention window described in Part A, Section 10.4, unless otherwise negotiated. Monthly services may include text/call usage charges billed in arrears.

9. Revisions & Support

One round of revisions is included within 2 weeks of project handover. Ongoing support is available based on the package selected. Additional revisions, updates, or scope changes beyond what is included are billed at $250/hour.

Part D: AI Tools and Skills Library Terms

1. Overview

The AI Tools and Skills Library (“the Library”) is a collection of custom-built AI skills, assistants, prompt structures, templates, and instructional materials created by We Thrive Collective. The Library is included with The Labs tier of the Functioning & Feral™ Hub and with Soleila.io. It is not sold separately.

The Library is designed to support brainstorming, content development, strategy, and digital workflows. It does not provide business, financial, legal, or medical advice.

2. Your License

Your active membership grants you a personal, non-exclusive, non-transferable license to use the Library for your own business, for as long as your membership remains active.

You may:

• Use any skill or assistant in the Library in your own business
• Adapt or modify a skill for your own use
• Use the outputs you generate commercially, including in client work

You may not:

• Share, resell, publish, or redistribute any skill, assistant, prompt structure, or instructional material from the Library, in any format, to anyone who is not an active member
• Share your login credentials or provide Library access to any individual who has not purchased their own membership
• Repackage the Library, or any meaningful portion of it, as your own product, course, template pack, or membership offering
• Use the Library, or materials derived from it, to build or supply a competing library, tool suite, or membership
• Remove or obscure attribution from any Library material you share within permitted contexts

Adapting a skill for your own use does not transfer ownership of the underlying structure, and an adapted skill remains subject to this section.

3. Access and Updates

New skills and tools are added to the Library on an ongoing basis. We do not guarantee that any specific skill, assistant, or tool will be added, retained, or continue to function, and we may modify or retire Library materials at any time.

Your access to the Library ends when your membership ends, for any reason, including cancellation, closure for non-payment, or termination for conduct.

4. What Happens to Downloaded Materials When Your Membership Ends

Library materials are text-based and can be copied. Your license to use them is tied to your active membership, not to whether you hold a copy.

When your membership ends, your license terminates. You agree to stop using any Library materials you have copied, saved, downloaded, or adapted, and to delete them from your systems, accounts, and tools within 30 days.

Outputs you generated while your membership was active remain yours. You may continue to use them. What ends is your right to keep running the skills themselves.

Continuing to use, adapt, or distribute Library materials after your membership ends is a material breach of these Terms.

5. Enforcement

We may pursue any remedy available to us for a breach of Sections 2 or 4, including immediate termination of access, permanent ineligibility for membership or services across all We Thrive Collective and NM Phom Services LLC brands, and any legal remedy available under applicable law.

6. Platform Use and Technology

Library skills and assistants are designed to run on third-party AI platforms, which currently include Anthropic (Claude), OpenAI (ChatGPT), and Google (Gemini). You are responsible for maintaining your own accounts on those platforms and for any subscription, usage, or API fees they charge.

We are not liable for outages, pricing changes, model changes, policy changes, or feature limitations imposed by Anthropic, OpenAI, Google, or any other platform, or for any resulting change in how a Library skill performs.

Live sessions and calls associated with Library support may be transcribed using Tactiq for accessibility purposes. See the Shared Legal section for full transcription and recording terms.

7. AI Outputs and Limitations

Outputs are AI-generated and may include errors, outdated information, or unintentional bias. You are solely responsible for evaluating, verifying, and acting on any output. No output should be relied upon as professional, legal, financial, medical, or factual guidance.

You agree not to use the Library or its outputs for unlawful, harmful, or deceptive purposes.

8. Affiliate Tools and Recommendations

9. Intellectual Property

All skills, assistants, prompt engineering, training structures, and instructional materials in the Library are the intellectual property of NM Phom Services LLC. Nothing in these Terms transfers ownership. You may not reverse engineer, or create derivative works from, Library materials except as permitted in Section 2.

10. Disclaimers

The Library is offered “as-is” with no warranties or guarantees. We Thrive Collective disclaims all liability for decisions made or actions taken based on Library materials or their outputs.

Privacy Policy

Your use of any We Thrive Collective or NM Phom Services LLC service is subject to our Privacy Policy, which is incorporated into these Terms by reference. The Privacy Policy governs how we collect, use, store, and protect your personal information, including information processed through third-party AI tools, transcription tools, and automation platforms. Recordings, Transcripts, and Likeness

We Thrive Collective may record live calls, coaching sessions, community events, and any other programming hosted as part of your membership, subscription, or service engagement. By purchasing access and participating in any live session, you acknowledge and agree that sessions may be recorded and that recordings may be made available to other members as replays or used internally for program delivery and business operations.

If you do not wish to appear in recordings, you may opt out by turning off your camera and microphone or by not attending live sessions. Attendance at any live session constitutes your acknowledgment of and consent to this recording policy.

Transcription for Accessibility. We Thrive Collective uses Tactiq, a third-party transcription tool, to generate transcripts of calls and sessions we attend or host. This is an accessibility accommodation that supports how we operate as a neurodivergent-led business. Transcripts are used for internal purposes including session notes, program development, and accessibility support. They are not sold or shared with third parties outside of the processors named in our Privacy Policy. If you do not wish to be transcribed during a live session, you may turn off your camera and microphone or contact us in advance at hello@nmpservices.org.

Use of Likeness, Voice, and Content. By participating in any program, live call, or community space hosted by We Thrive Collective, you grant We Thrive Collective a non-exclusive, royalty-free, worldwide license to use your name, voice, image, likeness, and any content you contribute, including written posts, testimonials, and recorded participation, for purposes including but not limited to marketing, program promotion, educational examples, and business operations, in any media format now known or hereafter developed. You retain ownership of your own content. This license does not transfer ownership. It grants We Thrive Collective the right to use it in the ways described above.

Testimonials and Written Content. If you share a testimonial, result, win, or written reflection, whether in a community space, via direct message, email, or any other channel, you grant We Thrive Collective permission to use that content for marketing and educational purposes. Where possible, we will notify you before use. You may request that a specific testimonial or piece of content not be used by contacting us directly at hello@nmpservices.org.

Waiver of Approval Rights. You waive any right to review, approve, or receive compensation for We Thrive Collective’s use of your likeness, voice, image, or content as described in this section, except where prohibited by applicable law.

Opt-Out of Future Use. If you would like to request that specific content, recordings, or uses of your likeness be removed from active marketing use going forward, you may contact us at hello@nmpservices.org. We will honor reasonable requests on a case-by-case basis. Note that content already distributed or published may not be fully retrievable.

Acceptable Use

You are solely responsible for all content, campaigns, and communications you send or configure through our Services, including any use of Soleila.io’s CRM, email, and SMS features. You agree not to use the Services to:

• Send unsolicited, unauthorized, or non-compliant marketing communications, including in violation of CAN-SPAM, TCPA, or applicable SMS/email marketing laws
• Send spam, phishing attempts, or deceptive communications
• Harass, threaten, or abuse any recipient or third party
• Violate any applicable law or the rights of any third party, including intellectual property or privacy rights
• Scrape, harvest, or collect data about other users without consent
• Interfere with or disrupt the platform, its infrastructure, or its underlying third-party providers (including GoHighLevel, Twilio, or Stripe)
• Attempt to gain unauthorized access to any account, system, or network connected to the Services

You are solely responsible for maintaining compliance with all applicable marketing, communications, and data privacy laws in connection with your own use of the platform, including obtaining proper consent from your own contacts before sending them communications. Violations of this Acceptable Use Policy may result in immediate suspension or termination of your account without refund, and you agree to indemnify us for any claims, penalties, or damages arising from your non-compliant use of the Services (see Indemnification, below).

Copyright Infringement (Digital Millennium Copyright Act Policy)

We respect the intellectual property rights of others and expect users of our Services to do the same. If you believe content hosted through our platform infringes your copyright, please send a notice to our designated copyright agent containing:

• A physical or electronic signature of the copyright owner or authorized representative
• Identification of the copyrighted work claimed to be infringed
• Identification of the material claimed to be infringing, and its location
• Your contact information (address, phone number, email)
• A statement that you have a good-faith belief the use is not authorized
• A statement, made under penalty of perjury, that the information is accurate and that you are authorized to act on the copyright owner’s behalf

Under 17 U.S.C. § 512(f), any person who knowingly materially misrepresents that material is infringing may be liable for damages. We reserve the right to terminate accounts of repeat infringers.

Indemnification

You agree to indemnify, defend, and hold harmless NM Phom Services LLC, its officers, employees, agents, and affiliates, from any claims, damages, liabilities, and expenses (including legal fees) arising out of your use of our Services, platform, or deliverables, or your violation of these Terms, including but not limited to compliance with email marketing laws, GDPR, or other regulations.

No Warranty

The Services are provided on an “as-is” and “as available” basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure, or that any defects will be corrected. Your use of the Services is at your own risk. This disclaimer is in addition to, and does not replace, the Results Disclaimer in Part A and any project-specific disclaimers described elsewhere in these Terms.

Limitation of Liability

In no event shall NM Phom Services LLC be liable for indirect, incidental, special, or consequential damages, including business loss, project delays, or third-party technology issues. Total liability shall not exceed the amount paid by the user in the previous 12 months.

Force Majeure

We are not liable for any failure or delay in performance due to events beyond our control, including but not limited to acts of God, natural disasters, governmental actions, internet service disruptions, or third-party platform outages.

Dispute Resolution

All disputes shall first be addressed through mediation in the State of Texas. If unresolved, disputes will fall under the jurisdiction of courts located in Collin County, Texas. By using our Services, you waive your right to participate in class actions or jury trials.

Waiver of Class Actions and Jury Trial. To the extent permitted by law, any dispute must be brought in your individual capacity, not as a plaintiff or class member in any purported class, consolidated, or representative proceeding. You and we each waive any right to a jury trial with respect to any dispute arising under these Terms.

Time to File Claims. Any claim arising out of or relating to these Terms or the Services must be filed within one (1) year after the claim arose, or it is permanently barred.

Feedback

If you provide feedback or suggestions about our Services, you grant us the right to use that feedback for any purpose without obligation or compensation to you. We treat feedback as non-confidential.

Miscellaneous

Waiver. No failure or delay by us in exercising any right under these Terms shall operate as a waiver of that right, nor shall any single exercise preclude further exercise of that or any other right.

Severability. If any provision of these Terms is found invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be severed and the remaining provisions shall continue in full force and effect.

Entire Agreement. These Terms, together with our Privacy Policy and any service-specific agreements referenced herein, constitute the entire agreement between you and NM Phom Services LLC regarding the Services, and supersede all prior agreements or understandings, written or oral, on this subject.

No Agency, Partnership, or Joint Venture. Nothing in these Terms creates any agency, partnership, or joint venture between you and NM Phom Services LLC. You have no authority to bind us in any respect.

Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations at any time without restriction.

Modifications to Terms

We Thrive Collective reserves the right to modify these Terms at any time. Updates will be posted on our website with a revised effective date and communicated to active clients and members. Continued use of our Services or platform constitutes acceptance of the revised Terms.

This section does not override the price lock in Part A, Section 3.1a. A change to our published pricing does not change the rate of an active subscription.
